Important Notice — Please Read Carefully

By creating an account, accessing the platform, or using any of its features, you confirm that you have read, understood and agree to be legally bound by these Terms in their entirety. If you do not agree, you must not access or use the Platform.

Please pay particular attention to:

  • Section 7 (User Responsibilities) — you are solely responsible for all activities through your account
  • Section 18 (Nature of the Platform) — Aviastore is not a party to any transaction
  • Section 22 (Disclaimers) — Aviastore makes no warranties of any kind
  • Section 23 (Limitation of Liability) — maximum liability = fees actually paid; where no fees paid = zero liability
  • Section 24 (Indemnification) — you agree to indemnify and hold Aviastore harmless
  • Section 27 (Dispute Resolution) — English law, English courts, no class actions

1. Introduction

Welcome to Aviastore.net.

These Terms of Service ("Terms") govern your access to and use of Aviastore.net (the "Platform"), including all websites, applications, services, features and content provided by Royal Air in its capacity as operator of the Platform ("Aviastore", "we", "us" or "our").

By accessing the Platform, creating an Account, or using any of its features, you agree to be bound by these Terms. These Terms form a legally binding agreement between Aviastore and every person or business using the Platform.

If you are using the Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, references to "you" and "your" refer to both the individual user and the legal entity on whose behalf they act.

If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Platform.

2. Acceptance of These Terms

By accessing or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and any policies incorporated by reference, including the Privacy Policy published at aviastore.net/privacy.

Aviastore may update these Terms from time to time. Where changes materially affect your rights or obligations, Aviastore will provide reasonable notice through the Platform or by email. Your continued use of the Platform after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to any revision, you must stop using the Platform and, if applicable, close your Account.

The "Terms Version" and "Last Updated" date at the top of this document identify the version of these Terms and when they were last revised. It is your responsibility to check this page periodically.

3. Definitions

"Account" means a registered business account created to access and use the Platform.

"Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with another entity.

"Asset" means any aviation-related product, equipment or property offered through the Platform, including but not limited to aircraft, helicopters, engines, APUs, landing gear, propellers, LRUs, avionics, rotables, repairables, expendables, consumables, tools, ground support equipment (GSE), raw materials, aviation real estate, charter services and empty leg opportunities.

"Broker" means a user acting on behalf of another person or organisation in connection with the marketing, purchase, sale, lease, exchange or acquisition of an Asset or Service.

"Buyer" means any user seeking to purchase, lease, rent, exchange or otherwise acquire an Asset or Service.

"Charter" means the hire of an aircraft, helicopter or other aviation asset for a specific flight or series of flights, offered through the Platform by a licensed operator or broker.

"Company Profile" means the information published by a registered business on the Platform, including its company name, logo, description, contact details, certifications and other business information.

"Content" means all information, text, images, logos, documents, specifications, files, videos, comments, messages and other materials made available through the Platform by any party.

"Empty Leg" means an unoccupied repositioning flight offered at a reduced rate by a charter operator or broker through the Platform.

"Listing" means any advertisement, inventory listing, service offering, availability notice, charter offer, empty leg notice or other information published on the Platform by a user.

"Platform" means Aviastore.net, including its website, mobile applications, APIs, software, databases, communications systems and related services, operated by Royal Air.

"RFQ" (Request for Quotation) means a request submitted by a user inviting one or more suppliers to provide a quotation for an Asset or Service.

"Royal Air" means the operating entity of Aviastore.net. References to "Aviastore," "we," "us," and "our" refer to Royal Air in its capacity as operator of the Platform.

"Sanctions Lists" means the U.S. Treasury OFAC Specially Designated Nationals (SDN) list, HM Treasury UK consolidated sanctions lists, EU consolidated sanctions lists, UN sanctions lists, and any other applicable international sanctions or restricted party lists in force from time to time.

"Seller" means any user offering an Asset or Service through the Platform.

"Service" means any aviation-related service offered through the Platform, including but not limited to maintenance, repair and overhaul (MRO), training, engineering, inspections, consulting, logistics, leasing, storage, painting, calibration, testing, charter operations and other aviation support services.

"Transaction" means any purchase, sale, lease, rental, exchange, consignment, repair, service agreement, charter booking or other commercial arrangement entered into between users through or as a result of the Platform.

"User" means any individual accessing or using the Platform on behalf of a registered business or other legal entity.

"User Content" means all information, documents, listings, RFQs, messages, files, images, logos and other materials submitted, uploaded or published by a user through the Platform.

"Verification" means any review, validation or assessment performed by Aviastore for the purpose of confirming certain information provided by a user.

"Verified" means that Aviastore has completed its verification procedures for specific information or documents at a particular point in time. Verification does not constitute a guarantee, certification, endorsement or warranty regarding a user's identity, authority, ownership, financial standing, technical capability, regulatory compliance, product authenticity, airworthiness or future conduct.

4. Eligibility and Registration

The Platform is intended exclusively for business-to-business (B2B) use within the aviation industry. It is not intended for use by consumers or individuals acting in a personal capacity.

To register an Account, you must:

  • be a legally established business, organisation, government entity or other legal person capable of entering into binding agreements;
  • have the authority to create and manage the Account on behalf of that entity;
  • provide accurate, complete and up-to-date registration information;
  • maintain the accuracy of your information throughout your use of the Platform; and
  • comply with all applicable laws and regulations relating to your use of the Platform.

By registering an Account, you represent and warrant that:

  • all information you provide is true, accurate and not misleading;
  • you have all necessary rights and authority to act on behalf of the registered entity;
  • your use of the Platform does not violate any applicable law, regulation, contractual obligation or court order;
  • you and your business are not listed on, or owned or controlled by any party listed on, any applicable Sanctions List; and
  • you will promptly update your Account if any registration information changes.

Each business may maintain one primary Account unless Aviastore expressly authorises additional Accounts in writing. Aviastore reserves the right, at its sole discretion, to refuse any registration request, decline to verify an Account, suspend access, or terminate an Account at any time.

Registration on the Platform does not create any partnership, agency, employment, franchise or joint venture relationship between Aviastore and any user.

5. Verification

To promote trust and transparency, Aviastore may verify certain information provided by users during registration or at any time thereafter.

Verification may include, without limitation:

  • company registration details and legal standing;
  • business licences, certificates and aviation approvals or accreditations;
  • tax or VAT registration information;
  • company websites and business email domains;
  • identity and authority of authorised representatives;
  • aviation regulatory certificates (AOC, EASA Part 145, FAA Repair Station, and equivalent);
  • publicly available business information; and
  • sanctions, compliance and risk screening against applicable Sanctions Lists.

Users agree to provide any information or documentation reasonably requested by Aviastore for verification purposes. Failure to provide requested information may result in delayed verification, suspension of Platform features, or refusal of access to the Platform.

A "Verified" status indicates only that Aviastore has reviewed specific information at a particular point in time. It must not be interpreted as:

  • a recommendation or endorsement of any user;
  • confirmation of ownership of any Asset;
  • confirmation of a user's authority to enter into any transaction;
  • confirmation of financial standing or creditworthiness;
  • confirmation of technical capability or regulatory compliance;
  • confirmation of the authenticity, traceability or airworthiness of any Asset; or
  • a guarantee of the future conduct, performance or reliability of any user.

Users remain solely responsible for conducting their own commercial, legal, financial and technical due diligence before entering into any transaction, regardless of a counterparty's verification status on the Platform.

6. Sanctions and Trade Compliance

This section is non-negotiable. Non-compliance may result in criminal penalties under U.S. and international law.

Aviastore operates as a global marketplace and is committed to full compliance with applicable international sanctions, export controls and trade regulations. All users are screened against applicable Sanctions Lists, including the OFAC SDN list, prior to Account activation and on an ongoing basis thereafter.

You represent, warrant and undertake on a continuing basis that:

  • you are not, and are not owned or controlled by any person or entity listed on any applicable Sanctions List;
  • you will not use the Platform to facilitate any transaction involving any sanctioned individual, entity, vessel, aircraft or jurisdiction;
  • you hold all necessary export licences, import permits and trade authorisations required for any transaction conducted through or as a result of the Platform;
  • you will comply with all applicable export control laws and regulations, including U.S. Export Administration Regulations (EAR), International Traffic in Arms Regulations (ITAR), UK Strategic Export Controls, and EU dual-use regulations where applicable; and
  • you will immediately notify Aviastore if you become aware of any sanctions risk associated with any user, transaction or Asset on the Platform.

Aviastore reserves the right to immediately suspend or terminate any Account, and to block, freeze or decline any transaction, where a sanctions match is identified or reasonably suspected. Aviastore may report any suspected sanctions or export control violation to the relevant regulatory or law enforcement authorities without prior notice.

7. User Responsibilities

Users are solely responsible for their use of the Platform and for all activities conducted through their Account. By using the Platform, you agree to:

  • provide accurate, complete and up-to-date information at all times;
  • maintain the confidentiality and security of your Account credentials and not share them with any other person or entity;
  • use the Platform in good faith and for legitimate business purposes only;
  • comply with all applicable laws, regulations and industry requirements;
  • conduct appropriate due diligence before entering into any transaction;
  • maintain all licences, approvals, authorisations and certifications required for your business activities; and
  • promptly notify Aviastore of any unauthorised use of your Account or any suspected security incident.

You are solely responsible for:

  • all Content uploaded or published through your Account;
  • all communications sent through the Platform;
  • all documents shared with other users;
  • all representations and warranties made to other users;
  • all transactions entered into through or as a result of the Platform; and
  • all consequences arising from your use of the Platform.

You are responsible for ensuring that your employees, representatives, contractors and all other authorised users comply with these Terms when accessing or using the Platform through your Account. Any act or omission by such persons shall be deemed to be your own act or omission for the purposes of these Terms.

8. Acceptable Use

You agree to use the Platform only for lawful purposes and in compliance with these Terms. You must not, directly or indirectly:

  • provide false, inaccurate or misleading information in any form;
  • create fake, duplicate or unauthorised Accounts to circumvent Platform rules;
  • impersonate any person, business or organisation;
  • advertise Assets or Services that you are not authorised to offer;
  • upload forged, altered or fraudulent certificates, approvals or documents;
  • list stolen, counterfeit or unlawfully obtained Assets;
  • knowingly misrepresent the condition, traceability, ownership, certification or availability of any Asset or Service;
  • use the Platform for fraudulent, deceptive or unlawful activities;
  • use the Platform to facilitate money laundering, terrorist financing, bribery, corruption or any other criminal activity;
  • violate any applicable sanctions, export control, customs or trade laws;
  • infringe the intellectual property, confidentiality or privacy rights of any third party;
  • transmit viruses, malware, ransomware or other harmful software;
  • interfere with or attempt to disrupt the security, integrity or operation of the Platform;
  • gain or attempt to gain unauthorised access to any part of the Platform or its supporting systems;
  • use bots, crawlers, scrapers or automated tools without Aviastore's prior written consent;
  • harvest or collect information about other users without authorisation;
  • send spam, unsolicited commercial communications or misleading marketing messages; or
  • encourage, assist or enable any other person to engage in any conduct that violates these Terms.

Aviastore reserves the right to remove Content, restrict access, suspend or terminate Accounts where it reasonably believes that a violation has occurred or is likely to occur.

9. Listings and Content

Users are solely responsible for all Listings and User Content published through the Platform. By publishing a Listing, you represent and warrant that:

  • you have the legal right and authority to advertise the Asset or Service;
  • all information provided is accurate, complete and not misleading;
  • the Listing complies with all applicable laws and regulations in all relevant jurisdictions;
  • the Listing does not infringe the rights of any third party; and
  • the information will be updated promptly if any material changes occur.

Users must not publish Listings that contain false or misleading information, advertise non-existent Assets, contain forged documents, infringe intellectual property rights, or otherwise violate these Terms or applicable law.

Aviastore may, at its sole discretion and without prior notice, remove, edit, suspend or restrict access to any Listing or User Content that it reasonably believes violates these Terms or applicable law. Users remain solely responsible for maintaining copies of any information or documents uploaded to the Platform.

10. Requests for Quotation (RFQs)

The Platform enables users to create, publish and distribute Requests for Quotation for aviation-related Assets and Services. An RFQ is an invitation to receive quotations only. It does not constitute an offer, acceptance, purchase order or legally binding commitment to enter into a transaction.

Users submitting an RFQ are solely responsible for ensuring that the information provided is accurate, complete and sufficiently detailed to enable potential suppliers to prepare an appropriate response. Users responding to an RFQ are solely responsible for the accuracy of their quotations, availability statements, pricing, delivery estimates, certifications and all other information provided.

Aviastore does not guarantee that an RFQ will receive any responses, that responses will meet requirements, or that any RFQ will result in a completed transaction. Users are solely responsible for evaluating all quotations received and conducting their own due diligence before entering into any agreement.

11. Charter and Empty Legs

The Platform enables licensed charter operators and brokers to advertise charter services and empty leg opportunities to other registered users. Aviastore is not the operator, charterer, lessor or lessee in any charter arrangement and is not a party to any charter agreement concluded between users.

Users engaging in charter transactions are solely responsible for:

  • verifying the operator's Air Operator Certificate (AOC) and all applicable licences, permits and insurance coverage;
  • confirming aircraft airworthiness, maintenance status and certification;
  • complying with all applicable aviation regulations and requirements of the relevant civil aviation authority;
  • all commercial terms, including pricing, itinerary, cancellation conditions, passenger liability and applicable taxes; and
  • obtaining independent legal and regulatory advice where appropriate.

Aviastore makes no representation or warranty regarding the legality, safety, airworthiness, availability, licensing or suitability of any charter or empty leg offering published on the Platform.

12. Communications Between Users

The Platform provides messaging, enquiry forms, RFQ communications and other tools that enable users to communicate with one another solely to facilitate legitimate business discussions relating to aviation Assets and Services.

Users are solely responsible for all communications sent or received through the Platform. Users must not use the Platform's communication systems to:

  • send unsolicited commercial messages or spam;
  • harass, threaten or abuse other users;
  • collect or harvest user information without authorisation;
  • distribute malware or harmful code; or
  • impersonate any person or organisation.

Aviastore is not responsible for any representations, agreements, payments or disputes arising from communications conducted through email, telephone, messaging applications or any other channel outside the Platform.

13. Aviation Documentation and Regulatory Compliance

Users are solely responsible for the accuracy, authenticity, completeness and legality of all aviation-related documents uploaded, shared or referenced through the Platform, including without limitation:

  • Certificates of Airworthiness;
  • FAA Form 8130-3;
  • EASA Form 1;
  • Certificates of Conformity (CoC);
  • Authorised Release Certificates;
  • maintenance records and logbooks;
  • work orders and inspection reports;
  • life-limited part (LLP) records;
  • engine and aircraft status reports;
  • traceability records;
  • test reports and calibration records; and
  • export, import and customs documentation.

Aviastore does not inspect, verify, authenticate, validate or certify any document submitted by users and makes no representation or warranty regarding its accuracy, validity, completeness, legal effect or regulatory acceptance by any aviation authority.

Nothing on the Platform shall be interpreted as:

  • engineering or maintenance advice;
  • regulatory or legal advice;
  • import or export advice;
  • certification or approval by Aviastore; or
  • confirmation that any Asset or Service is eligible for installation, operation or continued use.

Compliance with all applicable aviation, customs, export control, sanctions, tax, environmental and other legal requirements remains the sole responsibility of the users involved in any transaction.

14. Fees, Subscriptions and Payments

Certain features of the Platform require payment of subscription fees or other applicable charges. Where fees apply, Aviastore will clearly communicate the applicable pricing and billing terms before the relevant service is purchased or activated.

All payments through the Platform are processed exclusively via PayPal. By making any payment through the Platform, you agree to PayPal's terms of service and privacy policy in addition to these Terms. Aviastore does not store card or bank account details.

Unless otherwise stated:

  • all fees are quoted exclusive of applicable taxes, duties or governmental charges;
  • users are responsible for all applicable taxes required under their local laws;
  • fees are payable in the currency specified at the time of purchase; and
  • payment obligations are non-transferable.

Unless expressly stated otherwise, fees paid for subscriptions, premium services, featured listings or any other Platform service are non-refundable once the relevant service has been activated or delivered. Aviastore reserves the right to change its pricing or introduce new paid services at any time with reasonable prior notice.

Unless expressly agreed otherwise in writing, fees paid to Aviastore relate solely to access to the Platform and do not create any guarantee that a Listing will generate enquiries, that an RFQ will receive responses, or that any transaction will be completed.

15. Intellectual Property

All intellectual property rights in and to the Platform — including its software, source code, databases, design, layout, user interface, trademarks, trade names, logos, graphics, text, compilations, functionality and all other content created or owned by Aviastore — are and shall remain the exclusive property of Royal Air or its licensors.

Subject to these Terms, Aviastore grants users a limited, non-exclusive, non-transferable and revocable licence to access and use the Platform solely for its intended business purposes. Except as expressly permitted, users must not:

  • copy, reproduce, modify or distribute any part of the Platform;
  • reverse engineer, decompile or attempt to extract the Platform's source code;
  • create derivative works based on the Platform;
  • scrape, harvest or systematically extract data from the Platform;
  • use automated tools, bots or software to access the Platform without prior written consent; or
  • remove or alter any copyright, trademark or proprietary notices.

Users retain ownership of the intellectual property rights in their own User Content. By uploading or publishing User Content on the Platform, users grant Aviastore a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to host, store, reproduce, process, adapt, display, distribute and otherwise use such User Content solely for the purpose of operating, maintaining, improving and providing the Platform and its services.

16. Privacy and Data Protection

Aviastore collects, uses, stores and processes personal data in accordance with its Privacy Policy, available at aviastore.net/privacy, which is incorporated into these Terms by reference.

By using the Platform, you acknowledge that you have read and understood the Privacy Policy and consent to the processing of your data as described therein. Where you provide personal data relating to another individual, you represent and warrant that you have the necessary authority and legal basis to do so.

Users remain solely responsible for complying with all applicable privacy and data protection laws — including the Egyptian Personal Data Protection Law (Law No. 151/2020) and any other applicable national data protection legislation — in relation to any personal data they collect, share or process through or as a result of using the Platform.

17. Third-Party Services

The Platform may integrate with or link to third-party services, including PayPal for payment processing, identity and document verification providers, sanctions screening databases and other service providers. Aviastore is not responsible for the availability, accuracy, security or practices of any third-party service. Your use of third-party services is subject to those parties' own terms and conditions, and Aviastore accepts no liability arising from your interaction with any third-party service.

18. Nature of the Platform and Transactions

Aviastore is an online technology platform that enables aviation businesses to connect, communicate and conduct business with one another. Aviastore provides the technology infrastructure that facilitates these interactions and nothing more.

Aviastore is NOT:

  • the owner of any listed Asset unless expressly stated otherwise;
  • the buyer or seller in any transaction between users;
  • a broker, agent or representative of any user;
  • a maintenance organisation (MRO);
  • an inspection or certification body;
  • an escrow or payment service provider, unless expressly stated;
  • a freight forwarder, customs broker or logistics provider;
  • a party to any agreement entered into between users;
  • a provider of legal, financial, regulatory, engineering or technical advice;
  • an importer, exporter, lessor, lessee, consignee or consignor; or
  • a certification authority or aviation regulatory body.

All transactions conducted through or as a result of the Platform are entered into solely between the participating users. Aviastore is not a party to any contract, purchase order, lease, charter agreement, service agreement or other arrangement entered into between users, and assumes no responsibility or liability in connection with any such arrangement.

Any dispute arising out of or relating to a transaction is solely between the parties to that transaction. Aviastore has no obligation to investigate, mediate or resolve disputes between users, although it may at its sole discretion provide such assistance where it considers it appropriate.

19. Suspension and Termination

Aviastore may suspend, restrict or terminate any Account at any time where it reasonably believes that:

  • these Terms have been breached;
  • information provided by the user is false, inaccurate or misleading;
  • the Account has been compromised or used without proper authorisation;
  • the user or a related party appears on any applicable Sanctions List;
  • the user has engaged in fraudulent, deceptive or unlawful conduct;
  • continued access presents legal, regulatory, security or reputational risk;
  • Aviastore is required to act by a court, regulatory authority or applicable law; or
  • the Platform or any part of its services is being discontinued.

Upon termination, the user's right to access the Platform ceases immediately. Suspension or termination does not affect any obligations that arose before the date of the action. Sections 7, 15, 18, 22, 23, 24 and 27 shall survive termination.

Aviastore shall not be liable for any loss, damage or business interruption arising from the suspension or termination of an Account in accordance with these Terms.

20. Force Majeure

Aviastore shall not be liable for any delay, interruption or failure to perform any obligation under these Terms where such results from events beyond its reasonable control, including but not limited to:

  • acts of God, natural disasters, fire, flood or earthquake;
  • war, armed conflict, terrorism or civil unrest;
  • epidemics or pandemics;
  • strikes, labour disputes or industrial action;
  • failures of telecommunications, internet services or power infrastructure;
  • cyberattacks, ransomware or other malicious acts against the Platform;
  • failures of cloud hosting providers, domain name services or other third-party infrastructure;
  • governmental actions, sanctions, embargoes or changes in applicable law; or
  • any other event beyond Aviastore's reasonable control.

Nothing in this section relieves any user of any payment obligation that became due before the occurrence of the Force Majeure event.

21. Copyright Infringement Notices

Aviastore respects the intellectual property rights of others. If you believe that any Content available on the Platform infringes your intellectual property rights, please submit a written notice to [email protected] containing:

  • your full name, company name and contact details;
  • a description of the intellectual property right you claim has been infringed;
  • a description of the Content you believe is infringing and its location on the Platform; and
  • a statement that you have a good faith belief that the use is not authorised by the rights holder.

Aviastore will review notices received and may take such action as it considers appropriate, including the removal or restriction of access to the disputed Content. Receipt of a notice does not constitute an admission of infringement by Aviastore or any user.

22. Disclaimers

The Platform is provided on an "as is" and "as available" basis.

To the fullest extent permitted by applicable law, Aviastore disclaims all representations, warranties and conditions, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy and uninterrupted availability.

Without limiting the foregoing, Aviastore does not represent or warrant that:

  • the Platform will operate without interruption, delay or error;
  • information published by users is accurate, complete or current;
  • any Asset or Service exists, is available or is lawfully offered;
  • any Asset is authentic, traceable, certified, airworthy or fit for any particular purpose;
  • any transaction will be successfully completed; or
  • use of the Platform will produce any particular commercial outcome.

Aviastore does not provide legal, financial, tax, engineering, maintenance, regulatory, valuation, inspection or export control advice. Users should obtain independent professional advice whenever appropriate. Nothing on the Platform shall be interpreted as an endorsement, recommendation or approval of any user, asset, service or transaction unless expressly stated otherwise by Aviastore.

23. Limitation of Liability

Maximum Liability Cap

Aviastore's total aggregate liability to any user for any and all claims arising out of or in connection with these Terms or the Platform shall under no circumstances exceed the total subscription fees actually paid by that user to Aviastore during the twelve (12) months immediately preceding the event giving rise to the claim.

Where no fees have been paid by the user to Aviastore during that period, Aviastore's total aggregate liability shall be zero (USD 0). This cap applies to all claims in aggregate and not on a per-claim basis.

To the fullest extent permitted by applicable law, Aviastore and its owners, directors, officers, employees, affiliates, contractors, licensors and service providers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary or punitive loss or damage arising out of or relating to:

  • access to or use of the Platform, or inability to access or use it;
  • any listing, RFQ, quotation, communication or user content;
  • any transaction between users;
  • any interruption, suspension or discontinuation of the Platform;
  • unauthorised access to user accounts or data; or
  • any reliance placed on information obtained through the Platform.

Without limitation, Aviastore shall not be liable for loss of profits, revenue or business opportunities, loss of goodwill or reputation, loss or corruption of data, business interruption, Aircraft on Ground (AOG) costs, operational or flight delays, maintenance or repair asset costs, regulatory penalties or fines, or customs, import or export delays or costs.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation.

24. Indemnification

You agree to indemnify, defend and hold harmless Aviastore, Royal Air, and their respective owners, shareholders, directors, officers, employees, representatives, affiliates, contractors, licensors and service providers from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, penalties, fines, losses, costs and expenses, including reasonable legal and professional fees, arising out of or relating to:

  • your access to or use of the Platform;
  • your Account or any activity conducted through your Account, including activities of your employees, representatives or authorised users;
  • any Listing, RFQ, communication or User Content submitted by you;
  • any transaction entered into by you through or as a result of the Platform;
  • your breach of these Terms or any policy incorporated into these Terms;
  • your breach of any applicable law or regulation, including sanctions and export control obligations;
  • your infringement of any intellectual property, privacy, confidentiality or other rights of any third party; or
  • any negligent, fraudulent, wilful or unlawful act or omission by you or any person acting on your behalf.

This indemnification obligation shall survive the suspension, termination or closure of your Account and the termination of these Terms.

25. Children and Minimum Age

The Platform is intended exclusively for use by individuals who are at least 18 years of age and who are acting in a professional business capacity. Registration by or on behalf of any person under the age of 18 is strictly prohibited.

26. Changes to the Platform

Aviastore reserves the right to modify, suspend, discontinue or remove any feature, service or part of the Platform at any time, with or without notice, and without liability to any user. Aviastore does not guarantee that any particular feature or service will remain available.

27. Dispute Resolution and Governing Law

A. Governing Law

These Terms and all disputes or claims arising out of or in connection with them — including non-contractual disputes or claims — shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.

B. Good Faith Negotiation

In the event of any dispute arising out of or in connection with these Terms or the use of the Platform, the parties shall first attempt in good faith to resolve the matter through direct negotiation. The parties shall have thirty (30) days from the date of written notice of the dispute to attempt resolution, unless both parties agree in writing to extend this period.

C. Limitation on Claims Against Aviastore

Before commencing any formal proceedings against Aviastore, users acknowledge and expressly agree that:

  • Aviastore is not a party to any transaction conducted through the Platform and bears no liability for the acts, omissions or conduct of other users;
  • Aviastore's total aggregate liability is strictly capped at the fees actually paid to the Platform as set out in Section 23, and where no fees have been paid, Aviastore's liability is zero; and
  • any claim against Aviastore must be brought within twelve (12) months of the date on which the claimant first became aware, or ought reasonably to have become aware, of the event giving rise to the claim. Any claim not brought within this period is permanently and irrevocably time-barred.

D. Jurisdiction

If the dispute cannot be resolved through negotiation, both parties irrevocably submit to the exclusive jurisdiction of the competent courts of England and Wales. Users irrevocably waive any objection to proceedings being brought in the courts of England and Wales on the grounds of inconvenient forum or any similar basis.

E. No Class Actions

All disputes shall be brought solely on an individual basis. No user may bring, join or participate in any class action, collective action, mass action, consolidated proceeding or representative proceeding of any kind against Aviastore in any forum, whether judicial or otherwise.

28. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between Aviastore and the user regarding use of the Platform and supersede all prior discussions, understandings and agreements relating to the same subject matter.

Severability: If any provision of these Terms is found to be unlawful, invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable. If modification is not possible, it shall be severed and the remaining provisions shall continue in full force and effect.

No Waiver: Any failure or delay by Aviastore in exercising any right or remedy shall not constitute a waiver of that right or remedy.

Assignment: Users may not assign, transfer or otherwise dispose of any rights or obligations under these Terms without Aviastore's prior written consent. Aviastore may assign, transfer or delegate any of its rights or obligations without restriction, including as part of a merger, acquisition, restructuring or sale of assets.

Relationship of Parties: Nothing in these Terms creates or shall be interpreted as creating any partnership, joint venture, agency, employment, franchise or fiduciary relationship between Aviastore and any user.

Electronic Communications: Users agree that Aviastore may provide notices, disclosures and other communications electronically through the Platform or by email. Such communications satisfy any legal requirement that they be in writing.

Language: These Terms are drafted in the English language. If translated into any other language, the English version shall prevail to the fullest extent permitted by applicable law in the event of any inconsistency or conflict.

Headings: Section headings are for reference purposes only and do not affect the interpretation of these Terms.
